User Agreement

PLEASE READ CAREFULLY

Do not install or use any NRTaxReturn.com ("Company") services or products until you have read this User Agreement, which contains the terms and conditions for its use ("Terms"). By using any NRTaxReturn.com services or products or by providing any information to NRTaxReturn.com you indicate that you agree to the Terms contained in this User Agreement and in Company's Privacy Statement.

Acceptance of Terms

This User Agreement is a legally binding agreement between you, any third party to whom you provide or allow access to NRTaxReturn.com (the "Site") or who otherwise benefits from your use of the Services (as defined below) (collectively sometimes referred in this agreement as "you" or "your"), and Company.

You may print this User Agreement for your files, along with copies of any changes in Terms posted on the Site in the future. Use of particular Services may be subject to additional applicable agreements ("Supplemental Agreements") and any posted guidelines or rules applicable to such services. All such guidelines and rules are hereby incorporated by reference into this Agreement. Unless otherwise agreed to in writing between you and NRTaxReturn.com, the Terms, as amended, shall govern your use of the Site and its Services.

Description of Service

NRTaxReturn.com provides online web-based tax preparation services to assist foreign nationals with US tax preparation needs. The Services and any content provided on this Site in connection with the tax preparation services, including any software accessible through the Site, contain NRTaxReturn.com proprietary and confidential information that is protected by copyrights, trademarks, patents or other proprietary rights and laws.

In order to use the Site, you must obtain access to the Internet, either directly or through devices that access Web-based content and pay any service fees associated with such access. System availability and access to the services available on this Site may be limited or unavailable for reasons which may include, without limitation, system performance. NRTaxReturn.com makes no representations, warranties or assurances as to the availability of the Site. You agree that payment for use of this Service will be made with a valid credit card. The charge is non-refundable.

License

Except as expressly provided otherwise in an applicable Supplemental Agreement, NRTaxReturn.com warrants you a personal, revocable, non-transferable and non-exclusive license to display on your computer, print, download and use the underlying HTML, text, audio clips, video clips and other content that is made available to you on this Site, for non-commercial, personal or educational purposes only. You are not permitted to (and may not allow any third party to) copy, modify, adapt, translate, lease, loan, frame within any website, distribute, create a derivative work of, reverse engineer, disassemble, decompile, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Services. You agree not to access the Site by any means other than through the HTML browser or other interface that is provided by NRTaxReturn.com for use in accessing the Site. The license provided herein shall automatically terminate on the date NRTaxReturn.com decides to remove or terminate the Services. In addition, your license shall terminate immediately if you breach any of the Terms under this User Agreement.

Permitted Uses and Restrictions on Use

Subject to this User Agreement, a user is granted permission to use the Services to prepare applicable tax return forms per applicable service fee paid and, after proper registration and any applicable payment, print such tax return forms. The Services may not be used to prepare tax returns, schedules or worksheets on a professional basis (i.e., for a preparer's or other fee for tax preparation services). Notwithstanding anything in this User Agreement, NRTaxReturn.com has no responsibility or liability for damages or claims relating to any use of the Services on a professional basis.

No material from this site may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without NRTaxReturn.com written permission. Modification or use of materials on the site for any purpose other than those permitted in this User Agreement is a violation of NRTaxReturn.com copyright, trademark and trade secret rights.

Registration, Passwords and Security, Access to password protected areas

In consideration of your use of the Site, NRTaxReturn.com requires you to register. In registering (for example when prompted by the Site's registration forms), you agree that registration information will be accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, NRTaxReturn.com has the right to refuse any and all current or future use of the Site (or any portion thereof).

During the registration process, you will designate a user name and password. You are responsible for maintaining the confidentiality of the user name and password, and are responsible for all activities that occur under your user name and password. You agree to immediately notify NRTaxReturn.com of any unauthorized use of your password or account, or any other breach of security of which you are aware, and to ensure that you properly close out of your account at the end of each session. NRTaxReturn.com assumes no liability for any loss or damage arising from your failure to comply with this section with all Terms contained in this User Agreement.

User Content

Certain areas of the Site may allow users to upload and post content (collectively, "User Content"). You understand and expressly agree that NRTaxReturn.com assumes no responsibility or liability for any User Content and that you are solely and entirely responsible for any User Content you provide on the Site. By uploading and posting User Content on the Site, you warrant that: (1) you are the owner of such User Content or have been granted by the owner all the rights necessary to submit such User Content to NRTaxReturn.com; and (2) such User Content will not infringe the intellectual property rights of or otherwise violate the rights of any third party. NRTaxReturn.com does not control the User Content you post and as such assumes no responsibility for the accuracy, integrity or quality of such User Content. NRTaxReturn.com reserves the right to remove any User Content on the Site at any time and for any reason. NRTaxReturn.com is not responsible if the User Content you post contains errors or omissions; is offensive, objectionable or otherwise violates any intellectual property right or any other proprietary right of a third party; or for loss or damage of any kind incurred as a result of such User Content.

Termination

NRTaxReturn.com, in its sole discretion, may terminate your use of the Services for any reason without prior notice to you. You acknowledge and agree that NRTaxReturn.com may immediately deactivate or delete your user account and all related information and files in your user account and/or prohibit your further access to the Services. NRTaxReturn.com will not be liable to you or any third party for any termination of your access to the Site and/or use of the Services.

Modifications to Site

NRTaxReturn.com reserves the right to modify, suspend or discontinue, temporarily or permanently, the Site (or any part thereof) from time to time, for any or no reason and without notice. You agree that Company shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Site. The information and materials contained on the Site are subject to change.

Third Party Links

This Site may provide links or references to other sites. Company makes no representations, warranties or assurances as to any information in such sites, has no responsibility for their content and shall not be liable for any damages or injury arising from that content. You agree that Company is not responsible for the availability of such external sites or resources. We encourage you to read any applicable terms and conditions or privacy policies at such sites. Company provides these links to you only as a convenience.

Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

EXCEPT AS EXPRESSLY PROVIDED IN THIS USER AGREEMENT OR IN AN APPLICABLE SUPPLEMENTAL AGREEMENT, NRTaxReturn.com AND ITS DATA PROVIDERS will use reasonable efforts to include up-to-date and accurate information on this SITE but all PRODUCTS AND SERVICES OFFERED ON THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH NO WARRANTIES WHATSOEVER. ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS, ARE EXPRESSLY DISCLAIMED. NRTaxReturn.com AND ITS DATA PROVIDERS DISCLAIM ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE PRODUCTS AND SERVICES OFFERED ON THE SITE. NRTaxReturn.com AND ITS DATA PROVIDERS DISCLAIM ANY WARRANTIES FOR SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE SITE OR RECEIVED THROUGH ANY LINKS PROVIDED IN THE SITE, AS WELL AS FOR ANY INFORMATION OR ADVICE RECEIVED THROUGH THE SITE OR THROUGH ANY LINKS PROVIDED ON THE SITE.

TAX AND IMMIGRATION LAWS AND REGULATIONS CHANGE FREQUENTLY, YOU ARE RESPONSIBLE FOR AND AGREE TO REVIEW YOUR TAX RETURN FORMS FOR INDICATIONS OF ERRORS PRIOR MAILING IT AND FOR CONSULTING WITH YOUR TAX ADVISORS REGARDING APPLICABLE LAWS AND REGULATIONS. NRTaxReturn.com DISCLAIMS ANY RESPONSIBILITY FOR THE ACCURACY OR ADEQUACY OF ANY TAX POSITIONS TAKEN BY YOU IN YOUR TAX RETURN.

YOU UNDERSTAND AND AGREE THAT ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PRODUCTS AND SERVICES IS DONE SO AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY CLAIMS, INCLUDING WITHOUT LIMITATION ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA, THAT RESULTS FROM DOWNLOADING OR OTHERWISE OBTAINING SUCH MATERIAL.

ALL WARRANTIES AND GUARANTEES GIVEN OR MADE BY NRTaxReturn.com WITH RESPECT TO THE SERVICES ARE FOR THE BENEFIT OF THE REGISTERED USER OF THE SERVICES ONLY AND ARE NOT TRANSFERABLE, AND SHALL BE NULL AND VOID IF YOU BREACH ANY TERMS OF THIS USER AGREEMENT.

Limitation of Liability

EXCEPT AS EXPRESSLY PROVIDED OTHERWISE IN THIS AGREEMENT OR IN AN APPLICABLE SUPPLEMENTAL AGREEMENT, IN NO EVENT SHALL THE NRTaxReturn.com, ANY OF NRTaxReturn.com AFFILIATES OR DATA PROVIDERS OR ANYONE ELSE INVOLVED IN CREATING, PRODUCING, DELIVERING OR MANAGING THE CONTENT OF THIS SITE (collectively the "Site providers"), BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CLAIMS WHATSOEVER, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (including without limitation any lost revenues, lost profits, lost opportunities, loss of prospective economic advantage) ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THIS SITE, OR INFORMATION AVAILABLE FROM THIS SITE, INCLUDING WITHOUT LIMITATION ANY DAMAGES SUFFERED AS A RESULT OF OMISSIONS OR INACCURACIES IN SUCH INFORMATION AND INCONVENIENCE, DELAY OR LOSS OF USE OF THE SERVICE, EVEN IF ANY ONE OF OR ALL OF THE SITE PROVIDERS ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Indemnification

You agree to indemnify and hold harmless NRTaxReturn.com and its affiliates from and against any Claims arising out of or relating to: (1) User Content you submit, post to or transmit through the Site; or (2) your violation of any rights of any other person in connection with the Site.

Changes to the User Agreement

Company reserves the right to amend the User Agreement at any time, for any reason, without notice to you, other than the posting of the amended User Agreement at this Site. You should check the Site frequently to see the current User Agreement in effect and any changes that may have been made to it. Your use of the Site is subject to the User Agreement and Privacy Statement in effect at the most recent time of use. The provisions contained herein supersede all previous notices or statements regarding the Terms or use of the Site.
